Terms and Conditions

1. General
1.1 These general terms and conditions apply to all offers from ABC-Led.nl. The conditions are accessible to everyone and included on www.ABC-Led.nl. Upon request, we will send you a written copy.
1.2 By placing an order, you indicate that you agree with the delivery and payment terms and conditions. ABC-Led.nl reserves the right to change its delivery and/or payment terms after the expiry of the period.
1.3 Unless otherwise agreed in writing, ABC-Led.nl does not recognize the general/specific terms or conditions of third parties.
1.4 ABC-Led.nl guarantees that the delivered products comply with the agreement and meet the specifications stated in the offer.

2. Delivery
2.1 Delivery takes place while stocks last.
2.2 ABC-Led.nl will process all orders as quickly as possible within the specified delivery time. If this is not possible, the customer will be notified within a few working days after placing the order and will then have the right to cancel the order without costs and without notice of default. Reasons for this are: - The ordered products are not in stock or no longer available. - There is a delay in delivering the ordered products for other reasons. - An order cannot be processed or can only be partially processed.
2.3 ABC-Led.nl's delivery obligation shall be deemed to have been met, unless proven otherwise, as soon as ABC-Led.nl has offered the goods delivered to the customer once. In the case of home delivery, the carrier's report, stating refusal of acceptance, serves as full proof of the offer to deliver.
2.4 All delivery times are indicative. The consumer cannot derive any rights from any stated terms. Exceeding a term does not entitle the consumer to compensation.

3. Prices
3.1 Prices will not be increased within the term of the offer, unless legal measures make this necessary (e.g., a change in the VAT rate).
3.2 All prices on the site are subject to printing and typesetting errors. No liability is accepted for the consequences of printing and typesetting errors.
3.3 All prices on the site are in euros and include 21% VAT.

5. Cooling-off period / right of withdrawal
5.1 The consumer can dissolve an agreement regarding the purchase of a product during a cooling-off period of at least 14 days without giving reasons. This cooling-off period starts on the day after the consumer receives the product.
5.2 The customer will unpack or use the product only to the extent necessary to assess whether he wishes to keep the product. Returns of goods should, if reasonably possible, be in the original packaging and in original condition.
5.3 The customer is obliged to notify within 14 days after receiving the product that he/she wishes to cancel the purchase. This must be done via the return form that can be found on www.ABC-Led.nl. After submitting this return form, the customer will receive all return instructions via email.
5.4 After the customer has indicated that he wishes to make use of his right of withdrawal, he/she must return the product within 14 days and prove that the delivered goods have been returned in time (e.g., by means of proof of postal delivery).
If the customer has not indicated that he wishes to make use of his right of withdrawal or has not returned the products after the expiry of the above terms, the purchase is a fact.
5.5 When cancelling the complete order, the shipping costs paid with the order will also be reimbursed to the customer. If the customer has chosen a more expensive delivery method than the cheapest standard delivery, the additional costs for the more expensive method will not be refunded.
5.6 The costs of return are for the account of the customer, unless otherwise agreed.
5.7 The amount will be refunded as soon as possible, but no later than 14 days after withdrawal. This is subject to the condition that the product has already been received back or conclusive proof of complete return can be provided.
5.8 Exclusion of the right of withdrawal applies to products made according to the consumer's specifications.
5.9 The refund will be made using the same payment method used by the customer. This is only different if the customer gives permission for another payment method. In that case, we will not charge any extra costs.
5.10 The customer is only liable for any diminished value of the product resulting from handling other than what is necessary to establish the nature, characteristics and functioning of the product.
5.11 The right of withdrawal mentioned in this article applies exclusively to consumers within the meaning of the law. For purchases by companies or other business customers, the right of withdrawal is excluded.

6. Complaints
6.1 Submitted complaints will be answered within a period of 14 days from the date of receipt. If a complaint requires a longer processing time, the customer will be notified within 14 days with an acknowledgement of receipt and an indication of when the consumer can expect a more detailed answer.

7. Data management
7.1 If you place an order with ABC-Led.nl, your data will be included in ABC-Led.nl's customer database. ABC-Led.nl complies with the Personal Data Registration Act and will not provide your data to third parties.
7.2 ABC-Led.nl respects the privacy of the users of the internet site and ensures confidential treatment of your personal data.
7.3 ABC-Led.nl uses a mailing list (upon registration). Each mailing contains instructions on how to remove yourself from this list.

8. Warranty
8.1 ABC-Led.nl guarantees that the products it delivers meet the requirements of usability, reliability and lifespan as reasonably intended by the parties in the purchase agreement, and thus stands for the manufacturer's warranty of the product delivered to you.
8.2 The warranty period of ABC-Led.nl corresponds to the manufacturer's warranty period. However, ABC-Led.nl is never responsible for the ultimate suitability of the goods for each individual application by the customer, nor for any advice regarding the use or application of the goods. ABC-Led.nl is not responsible for any damage caused by delivered goods. Use and application of the delivered goods and products are always at the risk of the customer.
8.3 The customer is obliged to check the delivered goods immediately upon receipt. If it appears that the delivered item is wrong, defective or incomplete, the customer must (before returning it to ABC-Led.nl) report these defects immediately via the contact form on www.ABC-Led.nl. Any defects or wrongly delivered goods must and can be reported to ABC-Led.nl in writing no later than 14 days after delivery. Returns of goods must be in the original packaging (including accessories and any accompanying documentation) and in new condition.
8.4 If ABC-Led.nl finds the customer's complaints to be justified, ABC-Led.nl will, at its discretion, either replace the delivered goods free of charge or make a written arrangement with the customer regarding compensation, on the understanding that ABC-Led.nl's liability and thus the amount of compensation is always limited to at most the invoice amount of the goods in question, or (at ABC-Led.nl's option) to the maximum amount covered by ABC-Led.nl's liability insurance in the relevant case. Any liability of ABC-Led.nl for any other form of damage is excluded, including additional compensation in any form whatsoever, compensation for indirect damage or consequential damage or damage due to loss of profit. If you are not satisfied with the handling of your complaint, you can submit your complaint to the European Commission's ODR (Online Dispute Resolution) platform.
8.5 ABC-Led.nl is not liable for damage caused by intent.
8.6 This warranty does not apply if: A) and as long as the customer is in default towards ABC-Led.nl; B) the customer has repaired and/or modified the delivered goods himself or has had them repaired/modified by third parties. C) the delivered goods have been exposed to abnormal circumstances, are otherwise handled carelessly or are handled contrary to the instructions of ABC-Led.nl and/or the user manual on the packaging; D) the defect is wholly or partially the result of regulations that the government has imposed or will impose regarding the nature or quality of the materials used;

9. Offers
9.1 Offers are without obligation, unless otherwise stated in the offer.
9.2 During the validity period stated in the offer, the prices of the offered products and/or services will not be increased, except for price changes resulting from changes in VAT rates.
9.3 Verbal promises only bind ABC-Led.nl after they have been expressly confirmed in writing.
9.4 Offers from ABC-Led.nl do not automatically apply to reorders.
9.5 ABC-Led.nl cannot be held to its offer if the customer should have understood that the offer, or a part thereof, contained an obvious mistake or error.
9.6 Additions, changes and/or further agreements are only valid if agreed in writing.

10. Agreement
10.1 An agreement between ABC-Led.nl and a customer is concluded after an order has been assessed by ABC-Led.nl for feasibility.
10.2 ABC-Led.nl reserves the right to refuse orders or assignments without giving reasons.

11. Images and specifications
11.1 All images; photos, drawings etc.; including data concerning weights, dimensions, colors, images of labels, etc. on the website of ABC-Led.nl are only approximate, indicative and cannot give rise to compensation or dissolution of the agreement.

12. Force majeure
12.1 ABC-Led.nl is not liable if and insofar as its obligations cannot be fulfilled due to force majeure.
12.2 Force majeure means any strange cause, as well as any circumstance, which cannot reasonably be for its risk. Delays or non-performance by our suppliers, internet failures, electricity failures, email traffic failures and failures or changes in technology supplied by third parties, transport difficulties, strikes, government measures, delays in supply, negligence of suppliers and/or manufacturers of ABC-Led.nl as well as auxiliary persons, illness of personnel, defects in auxiliary or transport equipment are expressly considered force majeure.
12.3 In the event of force majeure, ABC-Led.nl reserves the right to suspend its obligations and is also entitled to dissolve the agreement in whole or in part, or to demand that the content of the agreement be amended in such a way that performance remains possible. In no case is ABC-Led.nl obliged to pay any fine or compensation.
12.4 If ABC-Led.nl has already partially fulfilled its obligations when the force majeure occurs, or can only partially fulfill its obligations, it is entitled to invoice the already delivered or deliverable part separately and the customer is obliged to pay this invoice as if it concerned a separate contract. However, this does not apply if the already delivered or deliverable part has no independent value.

13. Liability
13.1 ABC-Led.nl is not liable for damage to vehicles or other objects caused by the use of delivered goods. Always read the instructions on the packaging before use and/or consult our website.

14. Retention of title
14.1 Ownership of all goods sold and delivered by ABC-Led.nl to the customer remains with ABC-Led.nl as long as the customer has not paid ABC-Led.nl's claims under the agreement or earlier or later similar agreements, as long as the customer has not paid for the work performed or yet to be performed under these or similar agreements and as long as the customer has not yet paid ABC-Led.nl's claims due to shortcomings in the fulfillment of such obligations, including claims for fines, interest and costs, all as referred to in Article 3:92 of the Dutch Civil Code.
14.2 The goods delivered by ABC-Led.nl that fall under the retention of title may only be resold in the context of normal business operations and may never be used as a means of payment.
14.3 The customer is not authorized to pledge the goods falling under the retention of title or to encumber them in any other way.
14.4 The customer already now gives unconditional and irrevocable permission to ABC-Led.nl or a third party to be appointed by ABC-Led.nl to enter all places where its properties will then be located and to take those goods with it, in all cases where ABC-Led.nl wishes to exercise its property rights.
14.5 If third parties seize the goods delivered under retention of title or wish to establish or assert rights thereon, the customer is obliged to inform ABC-Led.nl of this as soon as reasonably expected.
14.6 The customer undertakes to insure the goods delivered under retention of title and to keep them insured against fire, explosion and water damage as well as against theft and to provide the policy of this insurance to ABC-Led.nl for inspection upon first request.
